Corporate Governance: Code of Conduct
Code Amendments
EDS conducts periodic reviews of its Code of Business Conduct (the “Code”) to determine if any changes are appropriate in light of new legal requirements, emerging best practices, or new organizational or business risks. Following a recent review of the Code on April 15, 2008, the EDS Board of Directors approved an amended and restated Code. For a brief description of the nature of the amendments, see the download immediately below.

EDS is committed to providing high-quality professional services and to conducting business ethically and with integrity. We have earned a reputation as an honest and ethical organization by setting and meeting consistently high standards with clients, employees, suppliers, shareholders and governments. Our solid corporate reputation for integrity is the result of our policy of strict compliance with law and the sum of the ethical decisions of the men and women of EDS. It is their hard work and diligence that engenders successful long-term relationships, open communication, a strong sense of the corporate “family” and a world-class work environment. In short, our corporate commitment to integrity is one of the core values that link each of us, regardless of location, work assignment, language or customs.
To protect our legacy, we must be diligent guardians of our hard earned reputation so that EDS will always be a company we are proud to support. Our commitment to legal compliance must be unwavering and we should accept nothing less than unrelenting honesty and integrity in everything we do.
The Code of Business Conduct reflects and illuminates our corporate standards and provides specific guidance that employees can use to guide their decisions. The standards in the Code of Business Conduct are written with the following decision points in mind; and in fact, the Ethics Quick Test is a good tool to guide every decision-making process:
- Is the action legal?
- How would it look in the newspaper?
- Does it comply with EDS values?
- Am I treating others the same way I would choose to be treated?
- If I do it, will I feel bad?
EDS employees should always act with integrity and honesty in every situation. Our corporate standard calls for nothing less than unrelenting honesty and integrity in everything we do and the Code of Business Conduct is written to help us attain that goal.
Though the Code of Business Conduct covers a variety of topics, other resources are available for specific guidance on a particular issue. Those resources include leaders, the Open Door practice, EDS Human Resources, EDS Legal Affairs, and the EDS Office of Ethics and Compliance. The EDS Office of Ethics and Compliance provides advice and counsel to EDS employees around the world. Contact with the Office of Ethics and Compliance can be anonymous.
